By accessing or using SOAPy ("the App," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, do not use the App.
These Terms constitute the entire agreement between you and SOAPy regarding your use of the App and supersede all prior agreements, representations, or understandings, whether written or oral, including any marketing materials or communications.
We may update these Terms at any time. Continued use of the App after changes are posted constitutes acceptance. The "Last updated" date above reflects the most recent revision.
The AI-generated feedback provided by SOAPy is intended solely to help learners practice clinical documentation skills. It does not constitute medical advice, clinical diagnosis, or treatment recommendations. SOAPy does not create a provider-patient relationship of any kind.
SOAPy is not a replacement for formal medical or nursing education, accredited clinical training programs, or supervision by a licensed healthcare professional. You are solely responsible for any and all clinical decisions you make, regardless of any content you encounter in the App.
By using SOAPy, you expressly acknowledge that you assume full responsibility for how you apply any information, feedback, or content from the App in any clinical or professional setting.
SOAPy uses artificial intelligence (Claude, developed by Anthropic, PBC) to generate feedback on practice SOAP notes. You acknowledge and agree that:
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at thesoapyapp@gmail.com.
You must provide accurate and complete information when creating an account. You may not create an account on behalf of another person without their authorization.
We reserve the right to suspend or permanently terminate accounts that violate these Terms, at our sole discretion, with or without notice. Upon termination, your right to use the App ceases immediately. Sections 2, 3, 6, 9, 10, 11, 12, 13, 14, and 15 of these Terms survive termination.
You agree not to use the App to:
SOAPy offers a subscription ("SOAPy+") that provides access to premium features. Subscriptions are billed on a monthly or annual basis as selected at the time of purchase.
Auto-Renewal Disclosure (California Automatic Renewal Law, Bus. & Prof. Code § 17600): Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation: You may cancel your subscription at any time by contacting us at thesoapyapp@gmail.com. Cancellation takes effect at the end of the current billing period. You will retain access to premium features through the end of your paid period. We do not provide prorated refunds for partial billing periods.
Refunds: All purchases are final except where required by applicable law. If you experience a technical issue with your purchase, contact us at thesoapyapp@gmail.com within 30 days of the charge. For App Store purchases, refunds are governed by Apple's refund policy.
We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of price increases to active subscribers before the change takes effect.
All content in the App — including but not limited to clinical cases, AI feedback prompts and schemas, UI design, code, branding, logos, and case libraries — is owned by SOAPy and protected by United States copyright law and applicable international intellectual property laws. Unauthorized reproduction, distribution, or derivative use is strictly prohibited.
You retain ownership of the practice notes you write within the App. By using the App, you grant SOAPy a limited, non-exclusive, royalty-free license to process, transmit, and store your notes solely for the purpose of generating AI feedback and maintaining your progress records, consistent with our Privacy Policy.
Feedback and Suggestions: Any feedback, ideas, suggestions, or other information you provide to us about the App ("Feedback") shall be owned exclusively by SOAPy. By providing Feedback, you assign to SOAPy all rights, title, and interest in and to such Feedback, and we may use it without restriction or compensation to you.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.
SOAPy makes no warranty that: (a) the App will meet your requirements; (b) the App will be available, uninterrupted, timely, secure, or error-free; (c) any AI-generated content will be accurate, complete, reliable, current, or appropriate for clinical use; or (d) any defects in the App will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOAPY, ITS FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Liability Cap: In jurisdictions that do not allow complete exclusion of liability, SOAPy's total cumulative liability to you for any claims arising from or related to your use of the App shall not exceed the greater of (a) the total amount you paid to SOAPy in the twelve (12) months immediately preceding the claim, or (b) fifty U.S. dollars ($50.00).
You agree to defend, indemnify, and hold harmless SOAPy and its founders, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Informal Resolution: Before initiating any formal dispute, you agree to contact us at thesoapyapp@gmail.com and provide a written description of the dispute and your desired resolution. We will attempt to resolve the dispute informally within 30 days.
Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the App shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AND SOAPY EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration. If this class action waiver is found unenforceable in any jurisdiction, the arbitration agreement shall not apply in that jurisdiction, and the dispute shall be resolved in court.
Exceptions: Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration, without waiving the right to arbitrate.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Riverside County, California.
Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SOAPy.
Force Majeure: SOAPy shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, internet outages, third-party service failures (including Anthropic, Supabase, Stripe, or Cloudflare), or government actions.
Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of our assets.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SOAPy regarding the App and supersede all prior agreements and understandings.
